Welcome to HealCircle. These Terms and Conditions (“Terms”) govern your access to and use of the HealCircle website, applications, and services (collectively, the “Services”).

By accessing or using HealCircle, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. About HealCircle

HealCircle is a technology platform that connects doctors, wellness providers, and other practitioners to exchange services and products, share referrals, and participate in community features (including Karma Offers and Karma Points).

HealCircle is not a medical provider, does not provide medical or professional advice, and does not guarantee any outcomes.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. By using HealCircle, you represent and warrant that you meet these requirements.

If you are using HealCircle on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Keep your account information up to date
• Maintain the confidentiality of your login credentials
• Be responsible for all activity under your account

You are responsible for any use of your account, whether authorized or not.

4. Platform Role & No Professional Advice

HealCircle is a neutral technology platform that facilitates connections between users.

• HealCircle does not provide medical, health, legal, financial, or professional advice
• HealCircle does not verify, endorse, or guarantee any user, service, product, or outcome
• All interactions, exchanges, referrals, and services occur directly between users
• You are solely responsible for your decisions, actions, and results

Always consult qualified professionals for medical or health decisions.

5. Karma Offers & Karma Points

Karma Offers and Karma Points are community features designed to encourage collaboration and referrals.

• Karma Points have no cash value and are not currency
• Karma Points cannot be redeemed for money and are not a financial instrument
• HealCircle may modify, suspend, or discontinue Karma features at any time
• HealCircle makes no guarantees regarding availability, value, or outcomes of any exchange or referral

6. User Content

You may post or share content such as profiles, offers, messages, and referrals (“User Content”).

You represent and warrant that:

• You own or have the right to share your User Content
• Your content is accurate and not misleading
• Your content does not violate any law, regulation, or third-party rights

You grant HealCircle a non-exclusive, worldwide, royalty-free license to use, display, and distribute your User Content solely to operate and improve the Services.

HealCircle reserves the right (but not the obligation) to remove content that violates these Terms.

7. Prohibited Conduct

You agree not to:

• Violate any law or regulation
• Misrepresent your identity, credentials, or services
• Post false, misleading, or deceptive content
• Harass, abuse, or harm other users
• Interfere with the operation or security of the Services
• Attempt to access accounts or systems without authorization
• Use the Services for unlawful, fraudulent, or exploitative purposes

8. No Sale of Personal Data

HealCircle does not sell your personal information. We do not monetize your data and do not share it for advertising purposes. Our data practices are described in our Privacy Policy.

9. Third-Party Services and Links

The Services may contain links to third-party websites or services. HealCircle does not control and is not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or pose a risk to the platform or other users.

You may stop using the Services at any time.

Upon termination, your right to use the Services will cease.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

To the fullest extent permitted by law, HealCircle disclaims all warranties, express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranties regarding accuracy, reliability, or availability of the Services
• Any warranties regarding users, services, products, or outcomes from platform interactions

HealCircle does not guarantee that the Services will be uninterrupted, secure, or error-free.

12. Limitation of Liability

To the fullest extent permitted by law:

HealCircle and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Services.

HealCircle's total liability for any claim shall not exceed the amount (if any) you paid to HealCircle in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless HealCircle and its affiliates, officers, directors, and employees from any claims, liabilities, damages, losses, and expenses arising out of:

• Your use of the Services
• Your User Content
• Your interactions, exchanges, or referrals with other users
• Your violation of these Terms or any law or third-party rights

14. Governing Law & Venue

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in California, and you consent to their jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. We will update the “Last Updated” date when changes are made. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HealCircle regarding the Services and supersede any prior agreements or understandings.
